This Public Offer (the “Offer”) is an official proposal from SYRMAH LLP, BIN 221140015049, Republic of Kazakhstan, which operates the TgSuperGifts service (the “Service”), to conclude a sales agreement for digital assets (NFTs) with any user who accepts the terms of this Offer.
1. General Terms
1.1. By using https://tgsupergift.com, the user confirms that they have read and agreed to this Offer.
1.2. This Offer governs the purchase and transfer of NFTs listed on the Service.
2. Subject of Agreement
2.1. TgSuperGifts acts as an intermediary between the NFT seller and the buyer.
2.2. After payment is received, the Service purchases the selected NFT from the seller and transfers it to the buyer.
2.3. The buyer receives full ownership and usage rights of the NFT without limitations.
3. Payment and Delivery
3.1. Prices on the English version of the website (https://tgsupergift.com/en/) are shown in US dollars (USD). On the English version, payment is accepted only in cryptocurrency through the payment service Heleket (clause 3.4) or in Telegram Stars (clause 3.5). Bank cards and the Faster Payments System (SBP) are not available on the English version of the website. The amount payable is the amount shown on the Heleket payment page or in the Telegram payment window. It is set when the payment is created and may differ from the price shown in the catalogue because of rounding or a change in the market price of the NFT.
3.2. After the payment is received (clauses 3.4.4 and 3.5.3), the NFT is automatically delivered to the Telegram account provided by the buyer.
3.3. The buyer is responsible for entering the correct Telegram account information.
3.4. Payment in cryptocurrency through Heleket
3.4.1. The invoice is issued through Heleket in US dollars for the amount shown at checkout. On the Heleket payment page the payer chooses a cryptocurrency and a network from those offered by Heleket. Heleket calculates the amount payable in the chosen cryptocurrency at its own exchange rate and shows it together with the payment address.
3.4.2. The invoice is valid for the period shown on the Heleket payment page, currently 30 minutes. The payer must send the amount shown, in the selected cryptocurrency and network, to the address shown, before the invoice expires.
3.4.3. Blockchain network fees and any fees charged by the payer’s wallet or exchange are paid by the payer on top of the invoice amount. If the payment is sent from an exchange that deducts its withdrawal fee from the amount sent, the payer must make sure that the amount credited to the invoice is not less than the amount shown on the payment page. Heleket’s processing commission is not added to the invoice amount.
3.4.4. The payment is considered received when Heleket reports the invoice as paid in full (status “paid”) or overpaid (status “paid_over”) and the Service has confirmed this status with Heleket. The payment is credited only after the transaction receives the number of network confirmations that Heleket requires, which may take some time.
3.4.5. Underpayment. If less than the invoice amount is received, the payer may send the missing amount to the same invoice while it is still valid. If the full amount has not been received when the invoice expires (status “wrong_amount”), the order is cancelled and the NFT is not delivered. The amount received is refunded on request under clause 4.8.
3.4.6. Overpayment. If more than the invoice amount is received (status “paid_over”), the order is fulfilled. The excess is refunded on request under clause 4.8.
3.4.7. Funds sent in a cryptocurrency or network other than the one selected on the Heleket payment page, to a different address, or after the invoice has expired may not be credited to the order and may be lost irreversibly. The Service will help the payer contact Heleket, but it cannot guarantee that such funds will be recovered.
3.4.8. Heleket may delay, hold or block a payment under its anti-money-laundering (AML/KYC) procedures (status “locked”). The order is not fulfilled while a payment is held. The outcome depends on Heleket’s decision. The Service will keep the payer informed through the support bot (clause 4.5).
3.4.9. Heleket processes the payment under its own terms of use (https://heleket.com/tos). The Service does not receive or store the payer’s wallet credentials.
3.5. Payment in Telegram Stars
3.5.1. The price in Telegram Stars is calculated by the Service from the price of the NFT when the payment is created. It is shown in the Telegram payment window before the payer confirms the payment, and the amount shown there is the amount payable.
3.5.2. Telegram Stars are a Telegram in-app item governed by the Terms of Service for Telegram Stars (https://telegram.org/tos/stars). The Service does not sell Telegram Stars.
3.5.3. The payment is considered received when Telegram notifies the Service’s bot that the payment was successful.
3.5.4. Telegram is not a party to the purchase of the NFT. The Service’s support (clause 4.5) handles all questions about a Stars payment for an order, including refunds. Telegram support does not.
3.6. The NFT is not reserved while the payer completes the payment. If the NFT can no longer be purchased from the seller after the payment is received (for example, because it has been sold to another buyer), the NFT is not delivered and the payment is refunded under clause 4.1.
4. Refunds
4.1. A refund is possible only if the NFT has not yet been purchased from the seller.
4.2. If the NFT has been successfully purchased, a refund is not possible.
4.3. If the user entered an incorrect Telegram account and the NFT was delivered, a refund is also not possible.
4.4. Once the NFT has been delivered (transferred) to the buyer’s specified Telegram account, refunds and cancellation of the transaction are not possible.
4.5. Deadline for submitting a refund request: a request must be submitted via the Telegram support bot @tgsupergift_support_bot within 14 (fourteen) calendar days from the date of payment. The request must state the order number, the date and time of payment, the amount and payment method, the recipient’s Telegram account and a description of the issue. For a cryptocurrency payment, the request must also state the cryptocurrency and network used, the transaction hash (TxID) and the wallet address for the refund (clause 4.8). Requests submitted after this period are not accepted for review.
4.6. Refund request review period: the Service reviews the request and issues a decision within 10 (ten) business days from the date it is received. The user is notified of the decision through the same channel used to submit the request; if the request is denied, the reason is stated. If verification requires data from the payment service Heleket, from Telegram (including data on Telegram Stars payments), from the Fragment platform or from a blockchain network, the review period may be extended to no more than 30 (thirty) calendar days in total, and the user is notified before the initial period expires.
4.7. Refund payout period: if the request is approved, the refund is initiated within 10 (ten) business days from the date of the decision, as set out in clause 4.8 (cryptocurrency) or clause 4.9 (Telegram Stars). The time it takes for the refund to be credited depends on Heleket, Telegram or the blockchain network.
4.8. Refunds of cryptocurrency payments
4.8.1. Refunds are made through Heleket to the wallet address that the buyer specifies in the refund request. The Service does not send a refund to the address the payment came from unless the buyer confirms that address, because it may belong to an exchange or another third party.
4.8.2. The refund is made in the cryptocurrency and network used for the payment. The buyer is responsible for specifying an address that can receive that cryptocurrency in that network. A refund sent to the address specified by the buyer cannot be reversed.
4.8.3. The refund amount is the US dollar amount paid for the order, converted into the refund cryptocurrency at Heleket’s exchange rate on the refund date, less the blockchain network fee and Heleket’s commission for the refund.
4.8.4. For an underpaid invoice (clause 3.4.5), the refund is the amount actually received. For an overpaid invoice (clause 3.4.6), the refund is the amount received above the invoice amount. The deductions in clause 4.8.3 apply in both cases. If the deductions are equal to or greater than the amount to be refunded, no refund is made.
4.8.5. The Service is not responsible for changes in the exchange rate of the cryptocurrency between the date of payment and the date of the refund.
4.9. Refunds of Telegram Stars payments. If a refund is approved under clauses 4.1–4.7, a payment made in Telegram Stars is refunded in full, in Telegram Stars, to the Telegram account from which the payment was made, using Telegram’s refund mechanism. Stars refunds are not converted into money or cryptocurrency.
5. Liability
5.1. TgSuperGifts is not responsible for the actions of third-party sellers or platforms.
5.2. The buyer is responsible for providing accurate data and for the safekeeping of the NFT after delivery.
5.3. The Service shall not be liable for any lost profits or for any indirect, incidental, consequential, or punitive damages arising out of the use of or inability to use the Service, including those related to changes in the market value, exchange rate, or liquidity of the NFT.
5.4. The Service shall not be liable for any failure or delay in the performance of its obligations caused by force majeure or by the actions of third parties, the Telegram or Fragment platforms, payment systems, or blockchain networks.
5.5. The Service’s aggregate liability to the user shall in any case be limited to the amount actually paid by the user for the relevant NFT.
